Everything You Need to know about Lease Deed
Only if with the Lessor's written consent (standard clause). The lessee may sub-let the premises or assign the lease only with the Lessor's prior written consent, as stipulated in a standard protective clause designed to safeguard the Lessor's legitimate interests through conditional approval provisions. In the case of a sub-lease, the original lessee remains fully liable to the Lessor for all obligations under the lease, whereas an assignment involves a complete transfer of the lessee’s rights and responsibilities to the assignee.
Any lease may be terminated in accordance with the terms of the Lease Agreement, which typically provide for the following mechanisms: (1) Expiry, whereby the lease terminates automatically on the agreed end date unless renewed in writing; (2) Early Termination, encompassing (i) breach of the lock-in period, resulting in forfeiture of the security deposit, (ii) compliance with a stipulated 1–3 months’ prior written notice, or (iii) termination for cause due to non-payment of rent, misuse of the premises, or lessee insolvency; and (3) Eviction, which is enforced through court proceedings in accordance with the applicable Rent Control Act.
A lease can be renewed in accordance with the renewal clauses in the original agreement, which typically provide for: (1) automatic renewal or renewal upon notice as specified in the deed; (2) execution of a fresh lease deed, attracting new stamp duty; or (3) a supplementary agreement, subject to lower stamp duty.
